Andrea Rattner

Andrea Rattner is a partner in the Tax Department at Proskauer. She is member of the firm's Executive Committee and the immediate past Chair of the Tax Department. She practices in the field of executive compensation and employee benefits law and counsels clients with respect to the tax, securities, corporate governance, stock exchange, ERISA and other implications affecting all types of executive compensation arrangements and employee benefit plans. Andrea advises clients on compensation and benefits matters on an ongoing basis as well as in the context of corporate transactions, including mergers and acquisitions, debt and equity offerings, restructurings, financings and bankruptcies. Her clients include public and private companies, boards and their compensation committees, and executives in a broad range of industries, including retail, financial services, health care, consumer products, biopharmaceutical, telecommunications and entertainment.

Andrea has been recognized as leader in her field by various legal rankings directories, including Chambers USA and Legal 500. She writes and lectures frequently on employee benefits and executive compensation matters. She is currently a co-chair of the Cardozo Law School Dean’s Advisory Council and since 1993, has served as an adjunct professor on the faculty of Cornell University (New York State School of Industrial & Labor Relations-Management Programs).
