Javier Fontcuberta Llanes

Dr. Fontcuberta lectures on courses at several schools, lecturing part time at ‘ESADE' since 1998. He lectures on various courses in its law faculty and programs aimed at executives, in addition to lecturing on commercial law at its Department of Private Law.

He is author of the book "El contrato de distribución de bienes de consumo y la llamada indemnización por clientela" (Consumer-Goods Distribution Contracts and Clientele Compensation), Tirant lo Blanch, 2009-. He is also autor of the chapter Derecho de Empresa del MBA de ESADE (Business Law in the MBA at ESADE), Planeta, 2010, a chapter of "Le pouvoir dans les sociétés", Février 2014, and a chapter of "Handbuch des Vertriebsrechts, C.H.beck", 2016 Dr. Fontcuberta also has written many specialized articles and regularly writes articles in the press.

Javier has extensive experience in advising on commercial contracts, M&A transactions, and company law.

He has supervised complex, multijurisdictional projects, planning, defining and implementing the legal strategy. He specializes in drafting and negotiating import, distribution and agency (genuine and non-genuine) agreements effective in various countries worldwide. He also participates in court, administrative and arbitration proceedings in collaboration with the relevant experts.

He advises on the termination (including unilateral termination) of national and international commercial distribution agreements, and has defined company management and governance structures to adapt them to best practices.

He specializes in advising on (i) business collaboration agreements (mainly commercial distribution in the automotive and motorcycle industries, including vehicle manufacture and distribution (new and used), spare parts and after-sales service, and product liability; and (ii) regulatory compliance, transparency and good governance (including internal investigations), and designing, implementing and following up on company management and governance structures.

He is secretary of the boards of directors of several companies.
